1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Sync Motion LLC ("Company," "we," "us"), governing your access to and use of AlpTimer, including any related services, features, and applications (collectively, the "Service").

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@alptimer.com if you suspect unauthorized access.

4. Use of the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated means (bots, scrapers) to access the Service without prior written consent
• Resell, sublicense, or redistribute the Service to third parties

5. Your Data

You retain all ownership rights to the data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide and improve the Service.

We do not sell Your Data to third parties. Our handling of personal information is described in our Privacy Policy.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice.

7. Payment Terms

Certain features of the Service may require payment. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified. We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

8. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the exclusive property of Sync Motion LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws. "AlpTimer" and the AlpTimer logo are trademarks of Sync Motion LLC.

Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

9. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Sync Motion LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify and hold harmless Sync Motion LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
